EVENT PARTICIPATION AGREEMENT: SYNC UGC
1. ENTRY AND CONDUCT
By entering the Sync UGC event space and participating in the experience, you agree to adhere strictly to all established community guidelines and operational protocols. Sync UGC, LLC reserves the unilateral right to terminate your participation and require your immediate departure from the premises should any breach of protocol or disruption of the controlled environment occur.
2. DIGITAL PROTOCOLS & SENSOR AUTHORIZATION
To maintain technical workflow integrity, you agree to the following digital governance:
2.1 Session Integrity & Re-Authorization: All participation sessions are subject to real-time integrity monitoring via the event application. In the event of a session invalidation—which may occur due to unauthorized background processes, hardware interruptions, or technical non-compliance—your digital access and media capture will be immediately suspended. To restore your active status and maintain presence on the premises, you must undergo manual re-authorization by a designated Sync UGC staff member.
2.2 Sensor & Data Authorization: By engaging with the event application or environment, you grant express authorization for the application to utilize your device’s hardware sensors—including but not limited to cameras, microphones, and biometric identifiers—to capture media. You acknowledge that all such captured data will be transmitted to and stored within Sync UGC, LLC’s secure cloud infrastructure for processing.
3. INTELLECTUAL PROPERTY & LICENSE GRANT
You retain ownership of any content you create or provide. However, by participating in the event, you grant Sync UGC, LLC a non-exclusive, irrevocable, perpetual, worldwide, royalty-free, and fully sublicensable license to use, host, store, reproduce, modify, create derivative works of, distribute, communicate, publish, publicly perform, publicly display, and otherwise use your content.
3.1 Scope of License: This license applies to all media captured during the event (the “Content”), including raw sensor data, processed assets, and any third-party transformations. This grant includes the right to edit, alter, or combine your Content with other media for any commercial, promotional, or editorial purpose across all platforms and media types.
3.2 Personality & Publicity Rights: In conjunction with the license above, you grant Sync UGC, LLC an absolute right to use your name, likeness, image, voice, persona, and any other identifiable characteristics captured within the Content. You expressly waive any right to inspect or approve the final composition of any media and release Sync-UGC, LLC from any claims regarding privacy, publicity rights, or defamation arising from the capture or publication of your likeness.
4. ENVIRONMENTAL DYNAMICS & PRIVACY
The event environment is a high-energy creative space optimized for media capture. All common areas, shared spaces, and movement corridors are designated as “Active Zones.” Participants must assume that continuous media capture is occurring within these zones. There is no expectation of privacy while traversing the event area or interacting with other participants.
5. LIMITATION OF LIABILITY & INDEMNITY
5.1 "As Is" Provision: The event and all digital tools provided are offered on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by law, Sync UGC, LLC disclaims all warranties, express or implied, including any warranties of merchantability or fitness for a particular purpose.
5.2 Limitation of Liability: In no event shall Sync UGC, LLC be liable for any loss or damage, including but not limited to personal injury, property damage, data corruption, or loss of digital assets resulting from your use of the platform or participant-owned hardware. Our total liability shall not exceed $100 USD.
5.3 Indemnity: You agree to defend, indemnify, and hold harmless Sync UGC, LLC and its affiliates from any and all claims, damages, and expenses (including legal fees) arising out of your breach of these terms or your violation of any third-party rights.
